Our expertise

Business transactions

Bring the structure, documents and decisions of a business transaction into a clear working plan.

When we can help

You are preparing to buy or sell a business or shares, restructure ownership, or work through the legal requirements of a proposed transaction.

What the work can include

  • Transaction readiness and legal work plans
  • Share and business sale documentation
  • Agreed legal due diligence
  • Term sheets, conditions and ancillary documents
  • Completion planning and post-completion corporate actions

Decisions to work through

The transaction perimeter

Is the proposal for shares, business assets or a restructure? Identify what is being acquired or transferred, and what will stay outside the deal.

Conditions and risk

What must be checked, agreed or approved before the parties commit or complete? Connect due diligence findings with the proposed terms and timetable.

Completion and handover

Which documents, consents, funds and corporate actions must come together? Allocate signing, completion and follow-up responsibilities.

What you should come away with

A defined transaction process, advice on the agreed legal issues and documents that support the intended transfer or restructure.

Where to start

A scoped transaction-readiness review begins with a discussion of your objectives and the documents already in place.

To help scope the work, gather:

  • The proposed deal structure and any term sheet or offer
  • Relevant business and corporate documents
  • The intended timetable, other advisers and known risks

How fees are approached

A readiness review may be separately fixed. Due diligence, negotiation and implementation are scoped in stages, with assumptions and dependencies made clear.

Scope matters.

A transaction roadmap does not include full due diligence, negotiations, finance, tax or completion work unless that stage is separately engaged. Specialist issues are coordinated with the appropriate advisers.

Inclusions, revisions, delivery stages, assumptions and responsibilities are set out in the engagement before work begins.
