Cornelius advises privately owned businesses, directors, shareholders and investors on commercial contracts, ownership and governance, business transactions, capital raising, technology arrangements and ongoing commercial matters.
He helps clients define the legal issue around a commercial decision, agree a clear scope and carry the matter through to documentation and implementation.
Current practice
His work includes share and business transactions, shareholder and unitholder arrangements, corporate remediation, capital-raising document suites, enterprise technology agreements, platform terms, privacy documentation and recurring commercial counsel.
Where a matter requires tax, financial, regulatory or litigation expertise outside the agreed scope, he works with or refers to the appropriate specialist adviser.
Professional background
Before establishing Novulex, Cornelius worked in Australia and New Zealand, including as an Associate in Banking & Finance at Maddocks and in senior and solicitor roles at Farry Law, Bytalus Legal and Brookfields Lawyers.
That earlier experience included banking and finance, corporate and commercial transactions, institutional client work, and hotel and property-development matters. It informs his approach to documentation and transaction management; it is distinct from Novulex’s present commercial and corporate offering.
