When we can help
Owners are coming together, an investor is joining, equity arrangements are changing, or the company’s records no longer match how decisions are made.
What the work can include
- Shareholder and unitholder arrangements
- Constitution alignment and legal business structures
- Resolutions, registers and corporate implementation
- Governance reviews and priority remediation
- Legal implementation of employee share and option arrangements
Decisions to work through
Rights and decisions
Who owns the business, who manages it, and which decisions need wider agreement? Ownership percentages alone do not describe the arrangement.
Funding and participation
How will further funding, changes in contribution and new participants be addressed? Bring the commercial expectations and relevant tax advice into the brief.
Change and departure
What should happen on a transfer, exit, deadlock or change in an owner’s role? Those expectations need to be considered with the existing documents.
What you should come away with
A connected set of ownership documents, decision rules and implementation actions, with responsibilities and dependencies identified.
Where to start
Ownership & Governance Framework begins with a discussion of your objectives and the documents already in place.
To help scope the work, gather:
- Current constitutions, shareholder or unitholder agreements and registers
- The ownership position, proposed changes and decision-making expectations
- Relevant accounting or tax advice and details of other advisers
How fees are approached
An initial review can be scoped as a fixed diagnostic. Documentation and implementation are usually staged, with a fixed or capped fee for each defined stage.
Tax, duty, accounting, valuation, specialist employment advice and disputes require separate scope or input from the appropriate adviser.
Inclusions, revisions, delivery stages, assumptions and responsibilities are set out in the engagement before work begins.
