For owners joining a business, changing their arrangements or agreeing how decisions, funding and exits will work.
What you should come away with
An aligned ownership document suite and an implementation plan, with approvals, records and responsibilities identified.
What the scope can include
These are the proposed building blocks. Your engagement confirms the exact documents, work and revision rounds.
Ownership issue map
The existing position, proposed changes and commercial decisions that require instructions.
Aligned documents
The shareholder or unitholder agreement and constitution work included in the agreed scope.
Approvals and records checklist
The relevant resolutions, registers and corporate actions identified for implementation.
Implementation plan
The signing sequence, dependencies and agreed responsibilities for putting the arrangement into effect.
What we need from you
- Current ownership records, constitutions, shareholder or unitholder agreements and relevant resolutions.
- The proposed ownership percentages, roles, funding arrangements and decisions already agreed.
- Details of the accountant, tax adviser or valuer, and any advice relevant to the proposed structure.
How the work progresses
Map the current position
Review the agreed records and identify the relationship between the documents and the intended arrangement.
Settle the key instructions
Work through decision rights, funding, transfers, departures and other issues within scope.
Prepare and align documents
Draft or amend the document suite and coordinate the necessary specialist inputs.
Implement the arrangement
Carry out the agreed signing and corporate actions, with remaining responsibilities recorded.
Fees and timing
The initial review and documentation stages are scoped separately where needed. Fees depend on the existing records, proposed changes, number of parties and implementation work required.
Timing is agreed after considering the documents, required inputs and current capacity. Tell us about a deadline before relying on a proposed timetable.
Work to scope separately
Tax, duty, accounting, valuation, employment advice and ownership disputes require separate advice or express scope. We identify those dependencies when planning the legal work.
What can change the scope
Unresolved commercial disagreements, incomplete historical records, new parties or a changed structure may require a separate stage. The engagement identifies whose interests Novulex represents.
Common questions
Can we keep some of our existing documents?
Yes. The review identifies what can be retained, what needs amendment and where documents need to be aligned. The work is scoped around the existing position and proposed change.
Will you act for all of the owners?
That depends on conflicts and the proposed engagement. We identify the client and who needs independent advice before accepting the work. A shared commercial objective does not settle that question.
Useful preparation
Bring the proposed arrangement, the existing records and the difficult decisions into one conversation.
Preparing for an ownership discussionAn enquiry is the starting point. We must complete conflict and capacity checks and agree an engagement before acting.
